Terms and Conditions
These Terms and Conditions ("Terms") govern your access to and use of the FrameLore Enterprise platform. Please read them carefully together with our Privacy Policy.

By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. Our Privacy Policy describes how we handle personal information.
1. Introduction and acceptance of terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "You," or "Your") and FrameLore ("FrameLore," "We," "Us," or "Our"), governing your access to and use of the FrameLore Enterprise platform and all related services (collectively, the "Platform").
By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Platform on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use the Platform.
2. Definitions
"User Content" means any scripts, screenplays, treatments, source materials, notes, briefs, or other files and data uploaded to the Platform by the User.
"Generated Outputs" means all reports, analyses, documents, visualizations, AI-generated images, and other deliverables produced by the Platform based on User Content.
"Platform" means the FrameLore Enterprise web application, including all toolkit modules, processing systems, and associated services.
"Third-Party AI Services" means external artificial intelligence infrastructure and application programming interfaces (APIs) used by the Platform to process User Content and generate outputs.
"Toolkit Modules"means the individual service components of the Platform, including but not limited to the Creator's Toolkit, Producer's Toolkit, Production Manager's Toolkit, and Casting Director's Toolkit.
"Account" means the registered account created by the User to access the Platform.
3. Description of services
FrameLore Enterprise is an AI-powered pre-production intelligence platform designed for film and television professionals. The Platform processes uploaded screenplays and source materials to generate production-ready reports and analyses.
3.1 Toolkit modules
The Platform currently offers the following core modules:
Creator's Toolkit: Script coverage and analysis, including scene-by-scene breakdown, element extraction, complexity scoring, genre identification, and narrative structure analysis.
Producer's Toolkit: Budget breakdown with multi-jurisdiction cost comparisons, union rate references, tax incentive breakdowns, and department-level cost estimates.
Production Manager's Toolkit: Production schedule generation, including one-line shooting schedules, scene ordering, cast day mapping, and Day Out of Days reporting.
Casting Director's Toolkit: Character breakdowns with AI-generated visual portraits, physical and personality descriptions, and casting reference links.
Additional intelligence modules may be introduced over time, including but not limited to Location Intelligence, Costume Intelligence, and Virtual Set Intelligence. FrameLore reserves the right to modify, expand, or discontinue any module at its discretion with reasonable notice to Users.
3.2 Instant script overview
Upon uploading a script, the Platform generates an initial one-page infographic overview in the background while the User completes the intake questionnaire. This overview provides a visual snapshot of the script's key analytical data points and is provided as an initial summary only. It does not constitute a complete analysis.
4. User accounts and registration
To access the Platform, you must create an Account by providing accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account.
You agree to immediately notify FrameLore of any unauthorized use of your Account or any other breach of security. FrameLore shall not be liable for any loss or damage arising from your failure to comply with this requirement.
FrameLore reserves the right to suspend or terminate any Account that violates these Terms or engages in activity that may harm the Platform or other Users.
5. Intellectual property and ownership
5.1 User Content ownership
You retain full and exclusive ownership of all User Content uploaded to the Platform. FrameLore claims no ownership, copyright, or proprietary interest in your scripts, screenplays, treatments, or any other source materials you provide.
By uploading User Content to the Platform, you grant FrameLore a limited, non-exclusive, non-transferable, revocable license solely to process such content for the purpose of generating your requested reports and deliverables. This license terminates upon completion of processing or deletion of your content from the Platform, whichever occurs first.
5.2 Generated Outputs
Generated Outputs produced by the Platform are delivered to you for your use in connection with your film and television production activities. You may use, reproduce, modify, and commercially distribute Generated Outputs as you see fit.
FrameLore retains the right to use anonymized, de-identified Generated Outputs for the sole purpose of improving the quality, accuracy, and functionality of the Platform's internal systems. FrameLore maintains professional standards in ensuring that such data does not identify any individual User or project. For clarity, your original scripts and source materials are never used for this purpose.
5.3 Platform intellectual property
All rights in the Platform itself, including its software, algorithms, user interface, design, documentation, and proprietary methodologies, remain the exclusive property of FrameLore. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited right to use it in accordance with these Terms.
6. Data privacy and security
6.1 Confidentiality of User Content
All User Content is treated as strictly confidential from the moment of upload. FrameLore implements commercially reasonable administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of User Content.
6.2 Access restrictions
Each User's project exists in a logically separated environment within the Platform. No other User, external party, or unauthorized person can access your uploaded materials. FrameLore personnel do not access, read, or review your scripts or source materials unless explicitly requested by you (for example, if you engage FrameLore's manual review services) or as required by law.
6.3 Third-Party AI processing
To deliver its services, the Platform utilizes third-party AI infrastructure and APIs to process User Content and generate outputs. By using the Platform, you acknowledge and consent to the transmission of your User Content to these third-party services solely for the purpose of processing.
FrameLore selects third-party AI providers that operate under commercial API terms which include the following protections:
- No model training:User Content submitted through the Platform's API integrations is not used by third-party providers to train, fine-tune, or improve their AI models.
- Limited retention: Third-party providers may temporarily retain API inputs and outputs for a limited period (typically not exceeding thirty (30) days) for operational, safety, and abuse-prevention purposes, after which they are automatically deleted.
- No sharing: Third-party providers do not sell, license, or share API-submitted data with any external parties.
FrameLore does not disclose the identity of its third-party AI infrastructure providers as part of its standard service terms. Users requiring specific disclosure for compliance purposes may contact FrameLore directly to discuss under a separate confidentiality arrangement.
6.4 No AI training on User Content
Your scripts, screenplays, and source materials are never used to train any AI models — whether owned by FrameLore or by any third party. This prohibition applies to all User Content at all times, regardless of account status.
FrameLore may use anonymized Generated Outputs (as described in Section 5.2) to improve the Platform's internal reporting quality and accuracy. This usage does not involve your original scripts or any information that could identify your project.
6.5 Encryption and data transmission
All data transmitted between your device and the Platform, and between the Platform and its third-party processing infrastructure, is encrypted using industry-standard encryption protocols.
6.6 Data retention and deletion
User Content uploaded to the Platform is retained for the duration of your active session and project. You may request deletion of your data at any time by contacting FrameLore. Upon account deletion or at your written request, FrameLore will delete all User Content and identifiable Generated Outputs from its primary systems within thirty (30) days, subject to any legal or regulatory obligations requiring longer retention.
Residual copies may exist in encrypted backup systems for a limited period and will be overwritten in the normal course of backup rotation.
Notwithstanding the foregoing, anonymized and de-identified Generated Outputs that have already been incorporated into FrameLore's internal systems prior to a deletion request (as described in Section 5.2) are not subject to deletion, as such data cannot be traced back to any individual User or project.
FrameLore may also retain aggregated, non-personally identifiable usage data, including platform interaction patterns, feature usage statistics, and processing metadata, for the purposes of improving the Platform's performance, accuracy, and functionality. Such data does not contain User Content or any information that could identify a specific User or project.
6.7 No unauthorized sharing
FrameLore does not sell, license, rent, or share User Content or personally identifiable information with any external party for marketing, advertising, research, or any commercial purpose unrelated to the provision of the Platform services.
FrameLore may disclose User Content only in the following limited circumstances:
- As required by law, regulation, court order, or legal process.
- To protect the rights, safety, or property of FrameLore, its Users, or the public.
- With your explicit written consent.
6.8 Regulatory compliance
FrameLore processes personal information in accordance with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA). Users located in jurisdictions with additional data protection requirements (including but not limited to the European Union General Data Protection Regulation) may contact FrameLore to discuss supplementary data protection terms.
7. Acceptable use
You agree to use the Platform only for lawful purposes related to film and television pre-production activities. You shall not:
- Upload content that infringes on the intellectual property rights of any third party.
- Upload content that is unlawful, defamatory, obscene, or otherwise objectionable.
- Attempt to reverse-engineer, decompile, or derive source code from the Platform.
- Use the Platform to develop a competing product or service.
- Share your Account credentials with unauthorized individuals.
- Interfere with or disrupt the integrity or performance of the Platform.
- Use automated systems, bots, or scripts to access the Platform without prior written authorization.
8. Fees and payment
Access to certain features of the Platform may require payment of fees as described on the Platform or in a separate service agreement. All fees are quoted in United States Dollars (USD) unless otherwise specified.
Fees are non-refundable except as expressly stated in these Terms or required by applicable law. FrameLore reserves the right to modify its pricing with reasonable written notice to Users.
If you fail to make timely payment, FrameLore may suspend your access to the Platform until all outstanding amounts are resolved.
9. Disclaimers and limitations of liability
9.1 Platform provided "As Is"
THE PLATFORM AND ALL GENERATED OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. FRAMELORE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 No guarantee of accuracy
Generated Outputs, including but not limited to budget estimates, production schedules, casting suggestions, and script analyses, are produced using AI-powered systems and are intended as decision-support tools only. They do not constitute professional financial, legal, production, or business advice.
FrameLore does not guarantee the accuracy, completeness, or reliability of any Generated Output. Users are solely responsible for independently verifying all data, estimates, and recommendations before making production decisions.
Budget figures, tax incentive calculations, union rate references, and jurisdiction-specific data included in Generated Outputs are estimates based on available data at the time of processing and may not reflect current rates, regulations, or conditions.
9.3 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRAMELORE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE PLATFORM.
FRAMELORE'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO FRAMELORE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless FrameLore and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Platform in violation of these Terms.
- Your User Content, including any claims that your content infringes the intellectual property or other rights of a third party.
- Your violation of any applicable law or regulation.
- Any use of Generated Outputs beyond their intended purpose as decision-support tools, including any failure to independently verify data, estimates, or recommendations prior to making production or business decisions.
11. Termination
Either party may terminate this agreement at any time. You may terminate by deleting your Account or providing written notice to FrameLore.
FrameLore may terminate or suspend your access to the Platform immediately, without prior notice, if you breach any provision of these Terms, engage in fraudulent or illegal activity, or if required to do so by law.
Upon termination, your right to use the Platform ceases immediately. FrameLore will delete your User Content in accordance with Section 6.6 of these Terms. Sections that by their nature should survive termination shall survive, including but not limited to Sections 5 (Intellectual Property), 6 (Data Privacy), 9 (Disclaimers), 10 (Indemnification), and 13 (Governing Law).
12. Modifications to terms
FrameLore reserves the right to modify these Terms at any time. Material changes will be communicated to Users via email or through a prominent notice on the Platform at least thirty (30) days before they take effect.
Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform and delete your Account.
13. Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms shall be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days of written notice, either party may submit the dispute to binding arbitration administered in Vancouver, British Columbia, Canada, in accordance with the applicable rules of the British Columbia International Commercial Arbitration Centre.
Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.
14. General provisions
14.1 Entire agreement
These Terms, together with any applicable service agreements, order forms, or statements of work, constitute the entire agreement between you and FrameLore with respect to the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
14.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
14.3 Waiver
The failure of FrameLore to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of FrameLore. FrameLore may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
14.5 Force majeure
FrameLore shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, or failures of third-party service providers.
14.6 Notices
All notices required or permitted under these Terms shall be in writing and shall be delivered to FrameLore at the contact information provided on the Platform or to the User at the email address associated with their Account.
